for the provision of sports services by the PadelPoint padel club

This document is a public offer under the provisions of the Civil Code of the Republic of Moldova No. 1107-XV of 06.06.2002 on public offers and their acceptance. It is the official offer of the limited liability company PADEL POINT S.R.L. (IDNO 1026600010848), represented by its director acting under the Articles of Association, hereinafter “the Organizer”, and contains all essential terms for providing physical culture and sports services (padel) to any natural person with full legal capacity or any lawfully operating legal entity (hereinafter “the Client”, “the Club Member” or “the Guest”) who has accepted the terms of this Offer Agreement by paying for the services or by starting to use the Club’s services.

Paying for the Club’s services or visiting the Club constitutes acceptance of this offer. From the moment of acceptance, the Offer Agreement is deemed concluded without being signed by the parties, under the terms set out below.

Main terms and definitions

“Club” - the PadelPoint padel club located at: Republic of Moldova, Chișinău, 58/28 Dacia Blvd., STRAAL complex.

“Organizer” - PADEL POINT S.R.L., IDNO 1026600010848.

“Club Management” - the Club staff and other persons engaged by the Organizer whose duties include serving Club Members and Guests under this Offer Agreement and monitoring compliance with the Club Rules.

“Client” - a natural person with full legal capacity aged 18 or over (persons aged 14 to 18 use the Club’s services with the consent of their legal representative), or a lawfully operating legal entity, who has paid for the Club’s services for themselves or for another person.

“Club Member” - any natural person with full legal capacity or lawfully operating legal entity in whose name a Club service has been paid for and a Membership issued. To become a Club Member, an application must be completed and a personal data processing consent signed.

“Guest” - any natural person with full legal capacity who visits the Club together with a Club Member or on their own (single visits), without a Membership issued in their name.

“Club Service” - the officially approved Club services needed to provide and conduct physical culture and sports activities (padel).

“Membership” - a prepaid package of hours of padel court use and/or Club services, issued in the name of the Club Member.

“Fines” - monetary penalties for breaching the Club Rules.

“Club Rules” - the rules of conduct for Club Members and Guests on the Club premises and padel courts, approved by the Organizer (Annex No. 1).

“Booking” - the period of padel court use agreed between the Club Member/Guest and the Club.

“Use of property” - use of the Club’s rackets, balls or other property.

“Rate” - the way the Club Member and/or Guest visits and pays for the Club’s services and the padel court.

“Website” - the Club’s website at: https://padelpoint.md

“Social Media” - the Club’s official pages on social networks and messengers (Instagram @padelpoint.md, Facebook, Telegram, WhatsApp, Viber).

1. Subject of the Offer Agreement

1.1. The subject of this Offer Agreement is the provision by the Organizer to the Club Member and/or Guest of physical culture and sports services (padel) at the PadelPoint padel club (hereinafter also “the Services”), defined in accordance with the Club Rates published on the Website, on Social Media and in Annex No. 2 to this Offer Agreement.

1.2. The Offer Agreement and its annexes are official documents and are published on the Club Website at https://padelpoint.md, as well as in a publicly accessible place on the Club premises.

1.3. The Organizer may unilaterally amend this Offer Agreement and its annexes without the prior consent of the Client, Club Member or Guest, publishing the amendments on the Club Website and in a publicly accessible place on the Club premises at least 1 (one) day before they take effect.

2. Rights and obligations of the Organizer

2.1. The Organizer shall:

2.1.1. Provide physical culture and sports activities (padel) for the Club Member/Guest according to the selected Rate, within the period set by the Rate and the Booking.

2.1.2. Keep confidential the Club Member’s personal data obtained when issuing the Membership, except as provided by the legislation of the Republic of Moldova.

2.1.3. Take measures to prevent and remedy any shortcomings in the quality of the services provided.

2.1.4. Ensure compliance with safety requirements and sanitary rules and standards.

2.1.5. Keep sports, sanitary and other equipment needed for the activities in working order.

2.1.6. Provide the Club Member/Guest with equipped lockers in the locker rooms for personal belongings.

2.1.7. Publish in good time (at least 1 day before they take effect) information about changes to this Offer Agreement or the Rates on the Website and in a publicly accessible place on the Club premises.

2.2. The Organizer may:

2.2.1. When holding Club events not shown in the schedule, restrict the activity area, publishing information about it on the Website, on Social Media and in a publicly accessible place on the Club premises at least 1 (one) day before such events.

2.2.2. Close the Club entirely for technical works for up to 30 days per year, with notice on the Website, on Social Media and in a publicly accessible place on the Club premises at least 14 (fourteen) calendar days before closing. The validity of unused Memberships is automatically extended by the duration of the technical works.

2.2.3. Unilaterally terminate this Offer Agreement if the Client fails to pay for the Membership and/or Booking on time. This Offer Agreement may also terminate on other grounds provided by the legislation of the Republic of Moldova.

2.2.4. Approve and unilaterally change the Club’s activity schedule, publishing changes on the Website, on Social Media and in a publicly accessible place on the Club premises at least 1 (one) day before they take effect.

2.2.5. Run activities on its own or with third-party coaches and specialists.

3. Rights and obligations of the Club Member and Guest

3.1. The Club Member and Guest shall:

3.1.1. Visit the Club under the conditions set by the Club Rates, the price list, the activity schedule and this Offer Agreement.

3.1.2. Comply with the Club Rules (Annex No. 1 to this Offer Agreement).

3.1.3. Pay a fine for breaching the Club Rules. The list of breaches subject to fines and the amounts are set out in the Club price list (Annex No. 2 to this Offer Agreement).

3.1.4. Follow the requirements of the Club Management and/or the Organizer prohibiting actions that may harm health and/or damage the Organizer’s property.

3.1.5. Inform the Club of any illnesses (including latent ones) and medical contraindications that may make the services unsafe for the Club Member’s/Guest’s health.

3.2. The Club Member and Guest may:

3.2.1. Require the Organizer to provide quality services in accordance with this Offer Agreement and Law of the Republic of Moldova No. 105-XV of 13.03.2003 on consumer protection.

3.2.2. Receive necessary and accurate information about the Club’s activities and services.

3.2.3. Send the Organizer opinions, suggestions and recommendations about any type of service.

4. Price of services and payment

4.1. The price and names of services are governed by the Club Rates in force (Annex No. 2 to this Offer Agreement). The Rates are publicly available on the Website and in a publicly accessible place on the Club premises. All prices are in Moldovan lei (MDL), VAT included.

4.2. Services are paid by bank transfer, bank card or cash. Paying for the Club’s services confirms that you have read and agree to this Offer Agreement.

4.3. When paying for Club services for a third party, the Client is responsible for informing that person (Club Member and/or Guest) of the terms of this Offer Agreement and its annexes.

5. Liability of the parties

5.1. The Organizer is not liable for harm to the life and health of the Club Member/Guest unless the Organizer or its staff are directly and demonstrably at fault.

5.2. The Club Member/Guest takes full responsibility for their own health and for the health of their minor children visiting the Club with them. The Organizer is not liable for harm related to deterioration of the health of the Club Member/Guest and their children, or for injuries resulting from independent activities, including independent play on the Club’s padel courts, except where the harm was directly caused by the Organizer’s actions.

5.3. The Club Member/Guest accepts that they may not claim compensation from the Organizer for moral or material damage or harm to health, either during or after this Offer Agreement, except as provided by the legislation of the Republic of Moldova.

5.4. The Organizer is not liable for lost or unattended belongings of the Club Member/Guest or for items left in locker room lockers.

5.5. All items found on the Club premises are kept for 1 (one) month.

5.6. The Organizer is not liable for technical inconveniences caused by preventive or emergency works carried out by the owner of the premises where the Club is located.

5.7. The Club Member/Guest is financially liable for damage to the Club’s equipment and property and for harm caused to other Club Members/Guests.

5.8. If either party fails to perform the Offer Agreement properly, causing adverse consequences for the other party, liability arises under the legislation of the Republic of Moldova.

6. Force majeure

6.1. The parties are released from liability for full or partial non-performance of obligations under this Offer Agreement if it was caused by force majeure circumstances that the parties could not foresee or prevent. Such circumstances include floods, fires, earthquakes and other natural phenomena, as well as war, military action, blockade, epidemics, prohibitive actions and acts of public authorities, destruction of communication networks and power supply, explosions and other force majeure circumstances.

7. Termination of the Offer Agreement

7.1. If the Client/Club Member/Guest gives up any Rate early after starting to use it, or after the Membership validity period has expired (Annex No. 2), the Club retains the full price of the Membership.

7.2. If a single visit or a visit booked under a Membership is cancelled less than 24 (twenty-four) hours before its start time on the padel court, the Club retains the full price of the visit.

7.3. When the Membership validity period expires, the service is deemed provided due to expiry, and all hours not used by the Club Member/Guest are cancelled. Unused hours are not refunded.

8. Final provisions

8.1. This Offer Agreement takes effect when the Client accepts the offer (by prepaying for the services to the bank account / at the Organizer’s cash desk) or when the Club Member/Guest accepts it by visiting the Club, whichever happens first.

8.2. The Club Member/Guest confirms that neither they nor their minor children have medical contraindications to sport and takes full responsibility for their own health and that of their minor children visiting the Club with them.

8.3. This Offer Agreement is governed by the legislation of the Republic of Moldova.

8.4. The Club Member/Guest consents to the Organizer processing their personal data (collection, systematisation, accumulation, storage, updating, use, destruction) in accordance with Law of the Republic of Moldova No. 195 of 24.07.2024 on personal data protection.

8.5. All disputes and disagreements between the parties arising under or in connection with this Offer Agreement are settled amicably through negotiation. If they cannot be settled by negotiation, they are referred to the competent court of the Republic of Moldova at the Organizer’s location.

ANNEX NO. 1 TO THE OFFER AGREEMENT

PADELPOINT CLUB RULES

1. General Club rules

1.1. These Rules form an integral part of the Offer Agreement for the provision by PADEL POINT S.R.L. and persons engaged by it of services related to physical culture and sports activities (padel). These Rules apply to everyone who receives the Club’s services.

1.2. Club Members/Guests may use the padel courts only during Club opening hours (daily, 07:00 to 23:00) and with a prior booking.

1.3. The Club may unilaterally change its opening hours, publishing the changes on the Website, on Social Media and in a publicly accessible place on the Club premises at least 1 (one) day before they take effect.

1.4. Club membership is personal and may not be transferred to or used by others.

1.5. A Club Member is responsible for their Guests and for their actions and/or omissions that may cause moral or material harm to Club staff, other Club Members and their Guests, or the Club’s property.

1.6. While at the Club, the Club Member/Guest shall follow the rules of etiquette, hygiene and public order, including: keeping all Club rooms clean, not littering on the courts or in Club rooms, not smoking indoors or on the Club premises (including e-cigarettes and heated tobacco systems), not using foul language, not using strongly scented cosmetics, and not taking children over 4 (four) years old into the locker room for the opposite sex.

1.7. During and outside activities, and when using sports equipment and accessories, the Club Member/Guest shall follow safety rules and use the Club’s services with due care, without exposing themselves or others to risk of harm to life, health or property.

1.8. The Club Member/Guest bears full financial liability for damage to the Club’s property. The amount of damage includes the cost of the damaged property, repair, restoration, installation and other necessary works, as well as court downtime.

1.9. When designing any activity programme, the Club assumes that the Club Member/Guest has no contraindications to physical activity.

1.10. A Club Member/Guest who intends to use and/or uses the Club’s services must inform the Club Management of all medical contraindications to sports activities.

1.11. If they feel unwell, the Club Member/Guest must immediately inform the coach or the Club Management. The Club is not liable for injuries or illnesses that arise or show during or after sports activities.

1.12. The Club Member/Guest may not:

  • enter staff-only areas unless specifically invited by the Club Management;
  • take professional photos or videos at the Club without the Club’s written permission;
  • operate the Club’s music or other technical equipment on their own;
  • post notices or advertising, conduct surveys or distribute products on the Club premises without the Club’s written permission;
  • bring any kind of weapon onto the Club premises;
  • bring their own drinks and food into the Club, or consume alcoholic or low-alcohol drinks, including beer, on the Club premises, except drinks and products bought at the Club;
  • be at the Club under the influence of alcohol or drugs, or eat on the courts, in training areas or in the locker rooms;
  • smoke on the Club premises.

1.13. The Club may:

  • refuse to admit to activities persons without sportswear and/or proper sports shoes;
  • stop an activity if a person behaves contrary to generally accepted norms, breaches public order or the legislation of the Republic of Moldova, or if their health and/or physical condition has deteriorated or poses a threat to others’ health. If an activity is stopped for this reason, the Club service is deemed provided.

2. Padel court rules

2.1. Padel courts are intended for playing padel. Using the courts for other sports or activities is allowed only with the consent of the Club Management.

2.2. No more than 4 (four) players may be on a padel court at the same time. During a training session, a Club coach may also be present.

2.3. One (1) hour of play and/or independent training at the Club equals 55 minutes of actual playing time. The remaining 5 minutes are for players to change over. When the booked time ends, the Club Member/Guest must leave the padel court.

2.4. Activities on the padel court require sportswear and clean sports shoes or special padel shoes. Street shoes or studded shoes are not allowed on court.

2.5. Guests inside the Club must have a change of shoes.

2.6. Food, coloured drinks, coffee, chewing gum and smoking are not allowed on the padel courts. Water in a closed sports bottle is allowed.

2.7. On the padel court it is forbidden to hit the glass walls, metal mesh or court structures with the racket; to throw the racket; to hang on the net or dividing structures; or to climb the court walls and fences.

2.8. Entering the padel courts and playing without clothing covering the upper body is not allowed.

2.9. Entering the courts before the booked time and staying after it ends is not allowed.

2.10. The conduct of Club Members and their Guests on court is governed by the generally accepted rules of padel and sports etiquette.

2.11. After the activity, the Club Member/Guest must return the Club’s sports equipment (rackets, balls) to the designated places in proper condition. The Club Member/Guest bears full financial liability for loss of or damage to Club equipment.

2.12. Club Members/Guests must vacate the court for maintenance at the first request of the Club Management. In that case, the Club provides another free court or moves the booking to another time.

2.13. Any issues with the technical condition of the court are resolved by Club Members/Guests together with the Club Management.

3. Padel court booking rules

3.1. Playing time for training and games on the padel courts is booked through the Club Management.

3.2. Bookings can be made at the Club, by phone at +373 78 003 100, on the Website https://padelpoint.md, via the Club’s messengers (Telegram, WhatsApp, Viber) and through other booking channels the Club may announce.

3.3. Padel courts can be booked subject to availability, according to the Club schedule.

3.4. Club services are provided on a prepayment of 100 (one hundred) percent. Club Members/Guests must pay for padel court time on time. If a booking is not paid within 1 (one) hour of being made, it is deemed unconfirmed and is cancelled.

3.5. Booked time must be cancelled at least 24 hours before the game starts, at the Club, by phone or through the channel used to make the booking.

3.6. If the Club Member/Guest does not show up at the booked time without 24 hours’ notice, the services are deemed provided and are deducted from the Membership or withheld from the prepaid visit price.

3.7. If play on the padel court is impossible at the booked time due to utility outages, municipal network failures or preventive or repair works, the Club, in agreement with the Club Member/Guest, moves the booking to another available slot. The services are deemed provided once the moved booking is used.


ANNEX NO. 2 TO THE OFFER AGREEMENT

PADELPOINT CLUB RATES

All prices are in Moldovan lei (MDL), VAT included. Current rates are published on the Website https://padelpoint.md and in a publicly accessible place on the Club premises. Rackets are provided free of charge as part of the court rental. Ball rental - 200 MDL.

If a slot is booked and the Club is not told at least 24 hours before it starts that you cannot attend, the booked hours are deducted from the Membership; for a single visit, the full price is withheld.

If unused, the Membership validity can be extended by 20 days for 500 MDL. It can be extended only once.

Cancellations and refunds

Court bookings are made for the date and time chosen by the client. As the service is a leisure service provided for a specific period, the 14-day right of withdrawal does not apply to these bookings.

If a booking is cancelled more than 24 hours before the game starts, the client may choose a full refund or move the booking to another available date and time.

If a booking is cancelled less than 24 hours before the game or the client does not show up, no refund is given. Management may offer rescheduling on a case-by-case basis but is not obliged to.

If the club cannot provide the booked court, the client may choose a full refund, rescheduling, or a credit of the amount paid to their account.

Refunds are made using the same payment method unless agreed otherwise. The club will initiate the refund within 14 calendar days of confirming the grounds for it. The actual crediting time depends on the bank or payment system.

Arriving late does not entitle the client to extra booking time or a partial refund.

For damage to other property, compensation is set by the Club Management under clause 1.8 of the Club Rules. If the Club Member and/or Guest refuses to compensate the damage, the Club Management may unilaterally refuse that person further access to the Club premises.

SPECIAL STATEMENT

By signing this application, I acknowledge and understand that:

1. Padel involves intense physical effort. I am advised to consult a medical institution to check whether my (my child’s) health, weight, age and general fitness are suitable for this type of physical activity. There are risks of injury, illness and other risks inherent in physical training and padel, and I fully accept these risks.

2. The Club Management, the Organizer and the coaches have no specialised medical training and cannot give a qualified assessment of my (my child’s) health and fitness for physical exertion.

3. I unconditionally release the Club, the Club Management, the Organizer and the coaches from liability, any legal action and any costs arising from the risks stated in point 1 of this statement, except where the harm was directly caused by the Organizer’s culpable actions.

I have read the terms of the Offer Agreement, the Club Rules, the Rates and the booking and rescheduling conditions. By signing this application, I consent to the Organizer storing and processing my personal data and my child’s personal data to the extent and by the methods needed to provide the services properly, in accordance with Law of the Republic of Moldova No. 195 of 24.07.2024 on personal data protection.
